Reference is made to the stock exchange notices published in connection with the Private Placement of 343,684,000 new shares (the “New Shares”) in Golden Ocean Group Limited (the “Company”).

The new shares have been validly issued, and the Company’s issued share capital has been increased to USD 5,163,596.37, divided into 516,359,637 issued shares, each with a nominal value of USD 0.01.

The New Shares are restricted shares in the U.S., and are subject to a six month holding period during which they cannot be traded in the U.S. The New Shares will therefore be delivered and registered on a separate ISIN BMG396371145 and listed on Oslo Børs only under a separate trading symbol “GOGL R”, expected to be on or about February 24, 2016.

During the second half of 2016, the New Shares are expected to be registered with the ordinary ISIN BMG396371061 of the Company and thereafter commence to trade under the Company’s ordinary trading symbol “GOGL” and become freely tradable on both Oslo Børs and NASDAQ Global Select Market.
